Structured Debt Readiness Review

Structured debt lives or dies on the numbers. Before you hand your deal to a broker or spend weeks chasing term sheets, you need to know the debt capacity, the lenders that will actually fund it, and the gaps that will kill the process.

We underwrite the transaction, size the debt stack, and tell you exactly which lenders will fund it. As a core component of our structured debt advisory work, we build the lender-ready package and term sheet strategy that gets you from first terms to closing. Where licensing applies, regulated partners execute under their own approvals. If your flow is trade-driven rather than asset-driven, see our trade finance readiness review instead.

What the review delivers

We size the debt, rank the lenders, and hand you the package that gets term sheets instead of silence. Every deliverable is built so you can defend the number in the room.

Debt Capacity Assessment

A defensible view of how much senior and subordinate debt your deal supports, with the leverage, coverage, and LTV constraints lenders will apply. We rebuild the sizing from your model so the number holds up in credit committee.

Lender Universe & Fit Ranking

A shortlist of 10 to 20 lenders ranked by fit against your asset type, ticket size, geography, and structure. Banks, debt funds, private credit, and family offices as applicable, not a generic blast list.

Lender-Ready Package Outline

A structured outline of the executive summary, sources and uses, operating model, collateral description, and sponsor credentials. We tell you what to include, what to fix, and what to leave out.

Term Sheet Strategy & Objection Map

The five objections most likely to kill your deal, the response for each, and the supporting document that neutralizes it. You go to market knowing exactly what lenders will push on.

Deal types we underwrite

Select a deal type to see how we size the debt, the structures involved, and what we underwrite.

Acquisition Finance

We size senior, mezzanine, and unitranche debt against the target's cash flow and the sponsor's equity contribution, so the leverage is defensible before it reaches a lender.

  • Structures: senior secured term debt, unitranche, mezzanine, seller notes, bridge to syndication.
  • Underwritten: EBITDA quality, leverage, coverage, working capital cycle, integration risk, sponsor credentials.
  • Typical use: buyouts, add-ons, management buy-ins, cross-border acquisitions.

Financely Structured Debt vs. Contingency Broker

Parameter Contingency Broker Financely Structured Debt
Upfront Cost Zero, but no incentive to qualify the deal Fixed fee, so we tell you whether the deal is fundable
Underwriting Shops the deal with no sizing analysis Sizes the debt against lender criteria first
Lender Targeting Broad blast to a generic list Ranked 10 to 20 lenders matched to your deal
Speed to Term Sheet Slow, because gaps surface late Fast, because gaps are fixed before market
Alignment Paid only on close, so pushes marginal deals Paid for the analysis, so we can tell you no

The Placement Execution

We start with your model, asset description, sponsor financials, and equity commitment evidence. We rebuild the debt sizing, stress the coverage ratios, and identify the gaps that get deals declined. We then produce the lender-ready package and the ranked lender list, and manage the dialogue from first presentation to term sheet negotiation. You get a decision, not a deck.

Frequently asked questions

What is a structured debt readiness review?

A fixed-fee diagnostic that sizes your deal for senior and subordinate debt, identifies which lenders will fund it, and tells you what your package needs before it reaches the market.

Do you require committed equity?

Yes. We require evidence of committed equity or a signed commitment letter. Deals without equity are not financeable and we will not take the fee.

How is this different from a broker?

A broker shops the deal and gets paid on close. We underwrite it first and tell you whether it is fundable, at what leverage, and at what cost, before you spend on a process.

What is the starting price?

The standard review starts at USD 2,500 for a single asset or single facility. Complex, multi-asset, or cross-border reviews start at USD 7,500. Rush delivery carries a 50% premium.

Are you a lender or a licensed broker?

Neither. Financely is an advisory firm. Where licensing applies, regulated partners execute under their own approvals.
