This Earnings & Performance Disclaimer (the "Disclaimer") applies to all content, communications, marketing materials, documents, memos, calls, emails, proposals, and services provided by Financely ( "Financely", the "Company", "we", "us", "our") and any related website, portal, forms, or tools (the "Platform"). By accessing the Platform, submitting an RFQ, booking a call, paying any fee, signing an engagement, or otherwise using our services, you ( "Client", "you", "your") acknowledge and agree to this Disclaimer.

No guarantees. Period. Financely does not guarantee earnings, revenue, profit, returns, capital raised, financing approvals, terms, timelines, or deal closing. We are an advisory firm operating on a best efforts basis. Outcomes depend on third party decisions and transaction facts outside our control.

Fees are for work, not outcomes. Fees compensate professional time, analysis, packaging, and process execution. Unless a written engagement explicitly states otherwise, fees are not refundable once paid.

1) No Guarantee Of Earnings, Funding, Or Results

1.1 No Promises Or Representations

Financely makes no promises, projections, warranties, or guarantees that you will achieve any specific results. This includes, without limitation, revenue, profit, returns, savings, capital raised, debt raised, approvals, pricing, credit terms, issuance of any instrument, closing, or timing.

1.2 Best Efforts Advisory Only

Financely is not a bank, not a direct lender, not an issuing bank, and not a deposit taking institution. Financely provides advisory and arranging support on a best efforts basis. Any financing or transaction outcome depends on third parties and on diligence, documentation, credit approval, collateral controls, compliance screening, and definitive legal agreements.

Non negotiable rule: If you require certainty, guaranteed outcomes, or “risk free” results, do not use our Services.

2) Examples, Estimates, And Forward Looking Statements

4) Assumption Of Risk And Risk Of Loss

4.1 You Assume All Business And Transaction Risk

You are solely responsible for evaluating the merits and risks of any strategy or transaction. Trade and project finance activities involve material risks, including credit risk, fraud risk, documentary risk, performance risk, political risk, sanctions risk, operational risk, settlement risk, legal risk, and market risk.

4.2 Losses Can Be Total

You acknowledge that you may lose fees paid to Financely and may incur losses in the underlying transaction, including a total loss. Financely is not responsible for your losses resulting from your decisions, your counterparties, your execution, or your reliance on illustrative materials.

5) Third Party Decisions And No Control

5.1 Counterparties Decide, Not Financely

Financing outcomes and terms are determined by third parties, including lenders, investors, insurers, banks, and service providers. Financely does not control credit committees, risk policies, diligence outcomes, pricing decisions, onboarding rules, or legal documentation decisions.

5.2 Third Parties Can Refuse Or Change Terms

Any counterparty may refuse, delay, suspend, or change terms at any time. A counterparty decision does not create any liability for Financely and does not create any refund right.

6) No Legal, Tax, Accounting, Investment, Or Regulatory Advice

6.1 Independent Advice Required

Nothing provided by Financely is legal advice, tax advice, accounting advice, regulatory advice, or investment advice. Nothing is a recommendation to enter into any transaction. You must consult qualified advisers before taking action.

6.2 No Fiduciary Duty

Financely does not act as a fiduciary unless explicitly agreed in writing and required by law. You remain responsible for your decisions and actions.

7) Fees, Refunds, And Reliance

7.1 Fees Are For Professional Services

Fees compensate professional time, analysis, packaging, diligence support, and process execution. Fees are not paid for outcomes, approvals, or closes.

7.2 Refund Position

Unless a written engagement explicitly states otherwise, fees are non refundable once paid. Lack of results, counterparty refusal, delays, market changes, compliance outcomes, or changes to your transaction do not create a refund right.

7.3 You Are Responsible For Reliance

You accept sole responsibility for how you interpret and use any information or materials provided by Financely. If you rely on an assumption, estimate, or illustration as if it were a guarantee, that is your error, not ours.

8) No Offer Or Solicitation

8.1 No Securities Offer

Nothing on our Platform or in our materials constitutes an offer to sell or a solicitation to buy securities, or any public offering. Any securities related activity, if any, can only occur through definitive documents and in compliance with applicable laws and eligibility requirements.

9) Priority Of Written Engagement Terms

9.1 Engagement Agreement Controls Specific Mandates

If you enter into a written engagement agreement with Financely, the engagement agreement governs that specific mandate. This Disclaimer still applies to the maximum extent not inconsistent with that written engagement.
