How Non-US Residents Finance the Purchase of a US Business

Acquisition loans for non-US residents buying a US business come from conventional banks, private credit funds and seller financing, not from the SBA. Since March 1, 2026, SBA 7(a) and 504 loans require 100% ownership by US citizens or nationals living in the United States, as American Banker reported.

Lenders that fund foreign buyers underwrite the target's cash flow first, and the buyer's US credit history second. The file has to carry the deal.

Lenders that fund foreign buyers

Conventional banks. These are regional and community banks lending outside the SBA program. They want a US acquisition entity, a US bank account and meaningful buyer equity.

Private credit. Non-bank lenders are the most open to non-resident sponsors when the target has stable EBITDA and a capable manager in place.

Seller financing. A seller note reduces senior debt and reassures lenders about the transition.

Equity gap capital. Mezzanine or co-investment fills what senior lenders will not. See equity gap funding.

Frequently asked questions

Can a non-US resident get a loan to buy a US business?

Yes, from conventional banks and private credit lenders outside the SBA program, provided the target has stable cash flow and the buyer contributes meaningful equity.

Do I need a US credit score?

Not always. Lenders lean on the target's financials, your documented source of funds and home-country credit references when a US score is missing.

Will I have to sign a personal guarantee?

Usually yes. Some private credit lenders accept limited guarantees when cash flow is strong and the equity contribution is larger.
