Where Independent Sponsors Raise Deal Equity in 2026
Independent sponsor equity providers are mostly family offices, high-net-worth syndicates, SBIC funds and mezzanine funds that co-invest equity, raised deal by deal once a sponsor has a target under LOI. Family offices remain the largest source. Citrin Cooperman's 2025 Independent Sponsor Report
found 62% of sponsors cite them as a top capital source.
Equity commitments are soft until they are documented. Sponsors with several providers in play close, and sponsors relying on one or two often lose the deal.
Who provides the equity

Family offices62%
High-net-worth individuals55%
SBIC funds53%
Lead investor data tells a similar story. The 2024 McGuireWoods Independent Sponsor Deal Survey, as summarised by CapitalPad, shows family offices leading 27% of deals, mezzanine and equity funds 25%, and private equity funds 19%.
Family offices.
They bring patient, flexible capital and expect alignment and a clear value creation plan. First Haven Capital's managing partner has said about 60% of its deal flow comes directly from sponsors.
Co-investment platforms.
CapitalPad typically commits USD 1 million to 2.5 million per deal through a single SPV alongside funds and family offices.
SBICs and mezzanine funds.
These combine subordinated debt with an equity co-investment, which reduces the cash equity the sponsor must find. See equity gap funding.
What equity providers want to see
They look for a signed or near-final LOI, quality of earnings, a financing plan with committed senior debt, sponsor economics they can accept, and a credible operating plan. A debt package that is already lender-ready signals the deal can close.
What Financely delivers
We prepare the senior debt side and the materials equity providers review. The Lender-Ready Package
covers the credit memo, model review and debt sizing, sources and uses and the data room, for a fixed USD 7,500 in 15 business days. Investor materials are covered under acquisition capital raising documents. Where permitted, see family office introductions.
It suits independent sponsors with a target under LOI who need senior debt committed and equity providers convinced.
Make Your Deal Fundable Before You Pitch It
Send us the target, the EV and your LOI terms. We will scope the work and send a fixed quote.
Who are the main equity providers for independent sponsors?
Family offices, high-net-worth individuals, SBIC funds and mezzanine funds that co-invest. Family offices are the most frequently cited source.
When should an independent sponsor approach equity providers?
Once a target is under LOI or close to it, with a financing plan and diligence underway. Earlier conversations build relationships but rarely produce commitments.
Does committed debt help raise equity?
Yes. Equity providers move faster when the senior debt is sized, documented and supported by a lender-ready credit file.
