AI-Assisted Financing Memos: Build the Borrowing Base Before the Narrative
Consider a distributor seeking a revolving facility against customer invoices. Management provides a polished financing memorandum, a revenue forecast and a headline receivables balance. Yet the supporting schedules use different reporting dates, overlook disputed invoices and leave existing debt unreconciled.
Improving the narrative will not resolve those gaps. Before using artificial intelligence to prepare lender materials, the finance team should establish a documented route from accounting records to borrowing capacity. The objective is a financing request another analyst can reproduce, challenge and monitor.
Define the Facility Before Drafting
Begin with the proposed borrower, funding requirement, use of proceeds and expected repayment source. Distinguish a recurring working capital requirement from financing a permanent operating loss.
For a receivables-backed revolver, specify which entities own the invoices and which customers owe the balances. Identify existing lenders and ask counsel to assess security arrangements rather than assuming every recorded asset is available to pledge.
The Office of the Comptroller of the Currency explains that revolving asset-based facilities generally depend on the lower of the borrowing base and the commitment, subject to contractual conditions.
Build the memorandum around those constraints. A larger requested limit does not automatically create additional liquidity.
For facilities under negotiation, label borrowing assumptions as provisional. Once documents are signed, update the model to match the executed definitions and retain a dated record of changes. Never treat an indicative term sheet as confirmation that funds are actually available.
Reconcile Receivables to Source Records
Choose a reporting date and freeze the source exports. Reconcile the receivables aging to the general ledger, explaining differences rather than carrying them into the presentation.
The Federal Reserve's examination guidance includes checking that borrowing-base certificates reconcile to the borrower's books, alongside reviewing concentrations, aging reports and cash controls.
At invoice level, retain identifiers, customer names, amounts, dates and supporting delivery or acceptance records. Separately identify disputes, credit notes and receipts awaiting allocation.
Document how overlapping exclusions are handled. An invoice that is both overdue and disputed should not silently inflate two deduction categories.
Give every reconciliation adjustment an owner, explanation and supporting reference. An unexplained balancing entry is not a substitute for resolving the discrepancy.
Calculate Availability, Not Headline Capacity
Take a hypothetical portfolio of $5 million in gross receivables. Assume distinct exclusions of $500,000 for aging, $300,000 for disputes and $200,000 for excess customer concentration. Eligible receivables total $4 million.
Apply an illustrative 80 percent advance rate and deduct $200,000 in reserves. The resulting borrowing base is $3 million.
With a $4 million commitment, $2.4 million already drawn and $100,000 of letter-of-credit exposure counted under the agreement, additional availability is $500,000. Assume no other deductions or unmet borrowing conditions.
These figures demonstrate mechanics, not market terms or a financing offer. Actual definitions, reserve treatment and sublimits must follow the agreement.

Separate Language Review From Credit Verification
Once the schedules reconcile, use approved writing assistance to organise explanations and shorten repetitive commentary. Keep calculations in controlled spreadsheets or systems with formulas that reviewers can inspect.
NIST identifies a specific generative AI risk: confidently presented information that is incorrect, internally inconsistent or unsupported.
A reviewer using a tester AI
service to assess a draft should keep that exercise separate from financial verification. A writing assessment does not establish that an invoice exists, a customer will pay or collateral qualifies.
Require source references for material assertions. Preserve uncertainty where evidence remains incomplete, and do not upload confidential borrower documents to unapproved services merely to improve their wording.
Stress the Cash Conversion Cycle
Return to the example. If another $500,000 becomes ineligible without a corresponding debt repayment, the 80 percent advance rate reduces borrowing capacity by $400,000. Available headroom falls from $500,000 to $100,000, assuming everything else remains unchanged.
Now place that result beside a weekly cash forecast. Identify the payroll, supplier and debt payments falling due before expected collections.
Model collections and debt repayments consistently. Where receipts repay the revolver, account for both the reduction in receivables and the reduction in outstanding borrowing.
Explain management's response to a shortfall, including timing and execution dependencies. Do not assume emergency equity or a covenant waiver will appear automatically.
Assign Owners Before Lender Submission
Appoint separate preparers and reviewers for the collateral schedule, liquidity forecast and narrative. Recheck that every document uses compatible dates, entities, currencies and assumptions.
Keep an exceptions register showing the issue, potential funding effect, responsible person and resolution status. Highlight unresolved questions rather than burying them in appendices.
Before distribution, ask an independent reviewer to recreate the availability calculation using only the submitted files. Then agree who will update the package as collections, disputes and reserves change.
A credible financing memorandum does not eliminate risk. It makes the risk visible, quantifiable and connected to evidence. Faster drafting becomes commercially useful only when it supports that standard.
